1. Agreement to These Terms

This End User License Agreement (the "Terms" or "EULA") is a legally binding agreement between you and FlashSoft OÜ, a private limited company (osaühing) incorporated under the laws of the Republic of Estonia ("Company", "we", "us" or "our"), governing your download, installation, and use of the mobile application Cutout Studio: BG Remover AI for iOS (the "App").

By installing, accessing, or using the App, or by purchasing a Premium subscription, you confirm that you have read, understood, and agreed to be bound by these Terms and by our Privacy Policy available at https://flashsoftapps.com/cutout-studio-privacy-policy.html. If you do not agree to these Terms, you must not use the App and must delete it from your Device.

These Terms are concluded solely between you and the Company, and not with Apple Inc. ("Apple"). The Company is solely responsible for the App and its content, subject to these Terms and Apple's Standard End User License Agreement (Apple Standard EULA).

2. License Grant and Restrictions

Subject to your ongoing compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable license to use the App on any Apple-branded products that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.

You agree that you will not:

• Decompile, reverse engineer, disassemble, or attempt to derive the source code or machine learning models of the App;
• Modify, adapt, translate, or create derivative works based upon the App;
• Rent, lease, lend, sell, sublicense, distribute, or otherwise commercially exploit the App binaries;
• Circumvent, bypass, or tamper with any digital rights management, licensing checks, or subscription validation mechanisms;
• Use the App to process, edit, or disseminate any unlawful, defamatory, infringing, or harmful imagery.

3. Premium Subscriptions and Lifetime Purchase

3.1 Options and Billing

Cutout Studio offers auto-renewable Premium subscriptions (Weekly and Yearly plans) as well as a one-time non-consumable Lifetime Purchase. Payment is charged directly to your Apple ID account at confirmation of purchase.

3.2 Auto-Renewal Policy

Subscriptions automatically renew unless auto-renew is cancelled at least 24 hours prior to the end of the current billing cycle. Your Apple ID account will be charged for renewal within 24 hours before the end of the current period at the rate of the selected plan.

3.3 Managing and Cancelling Subscriptions

You can manage, change, or cancel your subscriptions at any time via your iOS account settings: Settings > [Your Apple ID] > Subscriptions. Deleting or uninstalling the App from your device does not automatically cancel your subscription.

3.4 Refunds

Because all purchases are processed through the Apple App Store, all refund requests are governed exclusively by Apple's policies. To request a refund, please contact Apple Customer Support directly at https://reportaproblem.apple.com.

4. Intellectual Property and User Content

Your Content: You retain all ownership, copyright, and intellectual property rights in the photos, graphics, and videos you import, edit, or export using Cutout Studio. The Company does not claim any ownership over your content.

Company Assets: The App, including its user interface, code, neural network configurations, graphics, templates, gradients, and patterns, are the proprietary intellectual property of FlashSoft OÜ and protected under international copyright, trademark, and trade secret treaties.

5. Disclaimer of Warranties

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AUTOMATIC AI SEGMENTATION MAY OCCASIONALLY MISS MINOR EDGES OR DETAILS; USERS ARE ENCOURAGED TO USE THE BUILT-IN MANUAL FINE-TUNING TOOLS (ERASE, RESTORE, MAGIC WAND) BEFORE COMMITTING EDITS.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FLASHTSOFT OÜ, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE APP.

7. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Estonia, without giving effect to any principles of conflicts of law. Any dispute arising out of or relating to these Terms shall be submitted to the exclusive jurisdiction of the Harju County Court in Tallinn, Estonia, without prejudice to consumer protection rights granted to residents under mandatory EU regulations.
